The main regulations governing the establishment and registration of business entities are: - Presidential Decree of January 16, 2009 № 1 "On State Registration and Liquidation (Termination of Activity), which approved the Regulations on the state registration of business entities; - Civil Code of the Republic of Belarus; - Law of the Republic of Belarus on January 10, 2006 № 100-W, "On Business Associations"; - Presidential Decree of June 18, 2005 № 285 "On some measures to regulate business activity."
The state registration of legal entities and individual entrepreneurs - General Information.
The state registration of legal persons by their place of its location, an individual entrepreneur - the place of residence.
It should be noted that the location of the private unitary companies can be a living room (apartment, house) a natural person - the owner of property of private unitary enterprise (hereinafter - the living quarters) in only one of the following cases: if it belongs to him on the right of property (located in common or joint ownership) - with the consent of other owners (all owners), as well as all adult members of his family (and family members of all owners) living in this area; he resides in a residential area (except for residential premises the public housing stock), as indicated by a mark of identity document or information in the registration card (Brownie book) - with the consent of the owner (all owners) premises of the private housing stock as well as living in the premises of all adult members of the family of the owner (all owners). Implementation of productive activities (works, services) in a residential area, is the location of the private unitary enterprise, is not permitted without the translation of non-residential premises in the proper order.
Prior to filing the registration authority for registration of documents, property owner, the founders (participants) of the commercial organization must: agree with the registering authority the name of the company; determine the estimated location of the company; decide on the establishment of a commercial organization and to prepare its charter (memorandum - for a commercial organization serving only on the basis of the Memorandum of Association); create fund - for commercial organizations, to open a temporary account with a bank in a non-bank financial institution - when making cash deposit to the statutory fund, to assess the value of non-monetary contribution - if introduced into the charter capital of non-monetary contributions. |
