LIST OF DOCUMENTS PROVIDED TO THE STATE REGISTRATION LIMITED LIABILITY COMPANY
For state registration of a limited liability company to the registering body:
- The application for state registration;
- The charter in duplicate without notarization, an electronic copy (in formate.doc ili.rtf);
- Legalized extract from the trade register of the country of origin or other equivalent proof of legal status of the organization in accordance with the laws of the country of its establishment (the extract must be dated no later than one year prior to applying for state registration), with translation into Belarusian or Russian (the translator's signature must be notarized ) - for the founders who are foreign organizations;

Articles of incorporation. The content of the constituent documents

In accordance with Art. 48 CC of the Republic of Belarus - the legal entity operating under the charter (joint stock companies, unitary enterprises, production cooperatives), or memorandum and articles of association (limited (additional) liability), or only the memorandum (full partnership).
Memorandum of association is a legal entity, and the charter is approved by its founders (participants).
Legal entity established under the laws of one founder, acting under the Charter, approved by this founder.

Harmonization of legal entity

Prior to filing with the registrar for registration the documents specified in the Regulations, one of the founders (participants) of the commercial organizations (their representative) should agree with that entity its name.

Name of legal entity shall be agreed in Russian and Belarusian languages. (Application form attached)

Authorized share capital for limited liability companies, PUE, Inc. and its formation
|
Authorized capital of commercial organizations identified the "Provisions on state registration of business entities", approved by Decree of the President of the Republic of Belarus on January 16, 2009 № 1.
Item 7 of the Regulations provides that commercial organizations, except joint-stock companies independently determine the amount of authorized funds. Thus, the authorized share capital of UE (UE), LLC, SLC determined by the owner (for the UE and PUE) or promoters (for LLC and SLC).

- Law of the Republic of Belarus on January 10, 2006 № 100-W, "On Business Associations";
- Presidential Decree of June 18, 2005 № 285 "On some measures to regulate business activity."
